Members registered for the 2022 Annual Meeting of North Georgia Electric Membership Corporation both virtually and in person at the Colonnade in Ringgold, Ga. The meeting video may be viewed on the annual meeting web page.
No director nominations by petition were submitted. Incumbent directors Mr. Jason Parker of Murray County and Mr. John Howard of Walker were nominated by the member nominating committee and their board appointments were approved by the membership.
Two proposed amendments to NGEMC bylaws were passed by vote of the membership. Bylaw proposal one suggested that members have the option to vote via a secure online voting platform in advance of the annual meeting or any special member meeting when there is a contested election or a proposed amendment to the bylaws. Bylaw proposal two suggested the reallocation of NGEMC’s board representation into five (5) equal districts based on number of accounts.
The seated directors will be assigned to the districts as follows: District 1, Mrs. Denia Reese; District 2, Mr. Jason Parker; District 3, Mr. Mark Thomas; District 4, Mr. John Howard; and District 5, Mr. Ted Clark.
The Cooperative’s fiscal year report included the purchase of over 2.4 billion kilowatt-hours; investment of $16 million in equipment and facilities for increased reliability; service to more than 103,000 meters; engineering of 6,377 system improvements and new services; installation of 4,726 poles; and maintenance and operation of 35 substations and more than 6,500 miles of line.
The financial reports available on the annual meeting web page were prepared by the staff of NGEMC. These reports reflect the preliminary operating results of our 2021-2022 fiscal year as of June 30, 2022. The results of our fiscal year are currently under audit by the Certified Public Accountant firm of Jackson Thornton CPAs & Consultants. Records are kept in accordance with applicable regulatory and industry accounting standards. The final report will be posted to www.ngemc.com/report when available.
